Sponsorship Terms & Conditions1. Sponsorship PeriodThe sponsorship term will begin on January 1 of the applicable calendar year and end on December 31. Sponsorships are valid for a full calendar year only and will not be prorated or adjusted for partial-year participation. 2. Payment Terms2.1. Sponsorship payments of less than $9,000 may be submitted electronically through CLEF’s designated online payment platform. 2.2. Payments equal to or exceeding $9,000 shall be made via check, wire transfer, or ACH payment to the account details provided by CLEF. 2.3. All payments are due in full within thirty (30) calendar days of submitting the sponsorship application. Failure to remit payment within this timeframe may delay sponsorship benefits. 2.4. CLEF reserves the right to terminate the sponsorship agreement in the event of substantial payment delinquency. Written notice of termination will be provided, and CLEF shall have no further obligation to provide sponsorship benefits upon such termination. 3. Sponsor BenefitsSponsorship benefits are outlined in the applicable sponsorship package described in the CLEF Sponsorship Prospectus. All sponsor-provided materials, including but not limited to logos, advertisements, and promotional content, are subject to prior approval by CLEF. CLEF reserves the right to reject any materials that do not align with its editorial or branding guidelines. 4. Exhibitor GuidelinesSponsors participating as exhibitors at CLEF’s annual conference shall comply with all exhibitor display regulations set forth by CLEF. These include guidelines regarding setup, display requirements, and teardown schedules. CLEF retains exclusive discretion over booth placement and reserves the right to make adjustments as necessary. 5. Use of CLEF Branding5.1. Sponsors may use CLEF’s trademarks, logos, and branding (“CLEF Marks”) only as explicitly authorized by CLEF and in strict compliance with CLEF’s branding guidelines. 5.2. The CLEF Marks may not be used to imply endorsement, sponsorship, or approval by CLEF of any sponsor, product, or service. 5.3. Upon expiration or termination of the sponsorship agreement, sponsors must immediately cease using CLEF Marks. 6. Limitation of Liability6.1. In no event shall CLEF or its affiliates be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or business interruption, whether arising in contract, tort, or otherwise, and regardless of whether CLEF was advised of the possibility of such damages. 6.2. CLEF’s total liability to the sponsor for any claims arising out of or related to this agreement shall not exceed the amount of sponsorship fees paid by the sponsor during the applicable term. 7. Termination7.1. CLEF reserves the right to terminate this agreement immediately upon written notice to the sponsor in the event of breach of any provision of these Terms and Conditions, including failure to remit payment in accordance with Section 2. 7.2. CLEF may terminate this agreement for convenience upon providing five (5) calendar days’ written notice to the sponsor. In such cases, CLEF shall refund any unused portion of the sponsorship fees paid, less any reasonable costs incurred. 8. Content SubmissionSponsors shall provide all required promotional materials, including but not limited to logos, advertisements, and other deliverables, in the format and by the deadlines specified by CLEF. CLEF reserves the right to reject, edit, or request modifications to submitted materials that do not comply with its guidelines. 9. Force MajeureCLEF shall not be held liable for delays, cancellations, or failure to perform any obligations under this agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, governmental actions, or other unforeseeable events. 10. Governing LawThis agreement shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict-of-law principles. Any disputes arising under or in connection with this agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Minnesota. 11. AmendmentsCLEF reserves the right to amend these Terms and Conditions at any time. Such amendments shall become effective upon notification to the sponsor or publication on CLEF’s official website. 12. Miscellaneous12.1. Notices related to this agreement shall be sent via email to [[email protected]](mailto:[email protected]) or by registered mail to CLEF’s principal place of business. 12.2. If any provision of this agreement is held to be invalid or unenforceable, all remaining provisions shall remain in full force and effect. 12.3. This agreement constitutes the entire understanding between CLEF and the sponsor with respect to the subject matter hereof and supersedes all prior agreements, whether oral or written.
